Martinelli Advogados has helped São Paulo-based football club Ferroviária Futebol Clube restructure into a Sociedade Anônima de Futebol (SAF).

The deal closed on 27 June.

By transforming the club into a SAF, Ferroviária will have a more robust and secure business structure that gives it tax advantages and allows it to seek external investment.

According to some sources, Spanish brewer Estrella Galicia may invest in the club. It already stamps its alcohol-free label on the team’s shirts.

Founded in 1950, Ferroviária currently plays in Série D, the fourth tier of Brazilian football.

It is understood that Ferroviária is the first football club in the state of São Paulo to be transformed into a SAF.

The restructuring of the club was made possible after President Jair Bolsonaro approved a law last year that permits local football clubs to reorganise into limited companies, called SAFs.

Several Brazilian football clubs have reorganised their business structures since the law took effect. Some have also received external investment. Earlier this year, US businessman John Textor acquired a majority stake in Rio de Janeiro club Botafogo for 1.3 billion reais (US$259 million). That followed the purchase of a controlling stake in Vasco da Gama, also from Rio de Janeiro, by US investor 777 Partners.
